1. Parties

This Agreement has been concluded between BIS Çözüm Bilgisayar ve Entegrasyon Hiz. ve Tic. A.Ş. (hereinafter referred to as “BIS”), located at İçerenköy Mah., Üsküdar-İçerenköy Yolu Cad. No:10, Kat:2, VIP Center, Ataşehir, İstanbul, conducting the activities of the website https://www.personai.app/, and the internet user (“Member”) who becomes a member of the website https://www.personai.app/.

2. Subject of the Agreement

The subject of this Agreement is to determine the conditions for the Member to benefit from the website https://www.personai.app/.

3. Rights and Obligations of the Parties

In order to acquire membership status, the user who wants to become a Member must fill in the required information correctly and with up-to-date information by accepting this Membership Agreement on the Website. The user who wants to become a Member must be at least 16 (sixteen) years old. With the completion of the approval process and its notification to the Member, the Membership status begins, and the Member becomes subject to the rights and obligations specified in this Membership Agreement and on the Website. The Member who does not provide accurate and up-to-date information while filling in this Membership Agreement is personally responsible for all damages that may arise as a result.

3.1.

The Member declares and undertakes that the personal and other related information provided when becoming a member of the website https://www.personai.app/ is accurate under the law, and The Member will compensate all damages of BIS that BIS may suffer due to the inconsistency of this information immediately and in full.

3.2.

The Member cannot give the password given by BIS to him/her and the password he/she will create subsequently to any other person or organization; the right to use the password belongs solely to the Member. In case the Member violates this obligation, BIS reserves the right to claim any compensation and other claims arising from unauthorized use against BIS due to all responsibilities that may arise against BIS by third parties or authorized authorities.

3.3.

The Member undertakes to comply with the legal regulations and not to violate them while using the website https://www.personai.app/. Otherwise, all legal and criminal liabilities that may arise will be entirely and exclusively binding on the Member.

3.4.

The Member cannot use the website https://www.personai.app/ in a way that disrupts public order, violates general morality, disturbs and harasses others, for an illegal purpose, or infringes upon the intellectual and copyright rights of others. In addition, the Member cannot engage in activities that prevent or impede others from using the services (such as spam, viruses, trojans, etc.).

3.5.

BIS will not be responsible for unauthorized access to Member data and any damages that may occur to Member software and data. The Member has agreed in advance not to claim compensation from BIS due to any damage that may be caused by the use of the website https://www.personai.app/.

3.6.

The Member agrees not to access unauthorized data of other users of the website https://www.personai.app/ or use them without permission. Otherwise, all legal and criminal liabilities arising from this will be entirely the responsibility of the Member.

3.7.

The Member who violates one or more of the articles listed in this membership agreement shall be personally responsible for the violation, and will indemnify BIS from all legal and criminal consequences of such violations. In addition, in the event of the incident being referred to the legal field due to non-compliance with the membership agreement, BIS reserves the right to claim compensation from the Member.

3.8.

BIS has the right to delete the membership of the Member, delete the files, documents, and information belonging to the Member unilaterally whenever necessary. The Member accepts this disposal in advance. In this case, BIS has no responsibility.

3.9.

The software and design of the website https://www.personai.app/ are owned by BIS and are protected by copyright and/or other intellectual property rights under relevant laws, and they cannot be used, acquired, or modified without the permission of the Member. Other companies and products mentioned on this website are trademarks of their respective owners and are also protected under intellectual property rights.

3.10.

BIS may collect certain information, such as the name of the Internet service provider used to access the site, the Internet Protocol (IP) address, the date and time of access to the site, and the Internet address of the website used to directly access the site, for the improvement and development of the website https://www.personai.app/ and within the framework of legal regulations.

3.11.

BIS may use the personal information of the members for studies related to their specific preferences and areas of interest in order to provide better service, improve their products and services, and facilitate the use of the site. BIS reserves the right to keep a record of the actions taken by the Member on the website https://www.personai.app/

3.12.

By becoming a member of Personai App, the person acknowledges and agrees that within the framework of the current and/or future practices, all companies affiliated with BIS, all brands of these companies, and all companies and brands with which it cooperates are authorized to present product and service promotions, advertisements, campaigns, advantages, surveys, and other customer satisfaction practices, to store and share this membership information, and the Member allows the collection, sharing, use, and archiving of the above-mentioned personal information by these companies. Unless otherwise stated, the Member agrees that data collection, sharing, use, archiving, and access to the data will continue even after the termination of membership. Unless otherwise notified, the Member agrees that BIS and all affiliated companies have the right to contact him/her via the internet, telephone, SMS, etc. communication channels. The Member declares and accepts that he/she will not request any compensation from BIS and its affiliated companies due to any direct and/or indirect material and/or moral negative and/or positive damages arising from the collection, sharing, use, archiving, and access of the mentioned information.

3.13.

BIS may disclose the Member’s personal information when it is required as a legal obligation or

(a) to comply with legal requirements or comply with legal proceedings served;

(b) to protect and defend the rights and property of the BIS website family when it deems necessary in good faith.

3.14.

BIS has taken necessary measures to ensure that the website is free from viruses and similar malicious software. However, for the ultimate security, it is recommended that the user provides their own virus protection system and ensures the necessary protection. In this context, by entering the BIS https://www.personai.app/ website, the Member is deemed to have accepted that he/she is solely responsible for any errors that may occur in his/her software and operating systems and their direct or indirect consequences. The Member shall not use the Website in a manner contrary to law and morality, including the following cases.

3.15.

BIS reserves the right to modify the content of the website, modify or terminate any services provided to users, or delete user information and data registered on the BIS website at any time.

3.16.

BIS may change, update, or cancel the terms of the membership agreement at any time without the need for prior notice and/or warning. Any modified, updated, or revoked provisions shall take effect for all members as of the date of publication.

3.17.

BIS, under this membership agreement, has the authority to send informational emails to the registered email addresses of its members and informational SMS messages to their mobile phones. By accepting this membership agreement, the member is deemed to have agreed to receive informational emails at their email address and informational SMS messages on their mobile phone.

4. Termination of the Agreement

This agreement shall remain in effect until the member cancels their membership or their membership is terminated. In the event of a violation of any provision of the membership agreement by the member, BIS may unilaterally terminate the membership and terminate the agreement. In case of termination of the agreement before the completion of the membership period for products if purchased by the Member, no refunds will be made for the fees paid to BIS, and the Member’s access to the system will be terminated after 15 calendar days. The Member is solely responsible for backing up their information, and after a maximum of 15 calendar days, BIS has the right to delete the Member’s Customer’s records.

5. Resolution of Disputes

In case of any disputes arising from this agreement, the Istanbul Anatolian Courts and Execution Offices shall have jurisdiction under Turkish Law.

6. Effectiveness

By registering for membership, the member signifies that they have read and accepted all the provisions contained in the membership agreement. This Agreement is concluded and becomes effective upon the member’s registration.
